Major operations M&A Engineering in Spain in 2017

Sisteplant buys Alfa-Byte technology unit

Sisteplanta Spanish company specialising in consulting and industrial engineering services, has acquired the technology division of Alfa-Byte, a Barcelona-based company specialising in the development of plant management solutions. The value of the transaction has not been disclosed.

Specifically, Alfa-Byte's technology business unit has a team of five people who will become part of Sisteplant. With this operation, Sisteplant expands its portfolio of services and its presence in Catalonia.

Tradehi Investments acquires 33% from P&D Automation

Tradehi Inversiones, a subsidiary of the Spanish Moisés Álvarez Grouphas acquired the 33% from Spain's P&D Automatización for an undisclosed sum.

P&D Automatización, based in Gijón, is a company dedicated to the engineering and manufacture of automated systems and electrical panels. The company has given its shareholding to the Moisés Álvarez Group with the aim of tackling its growth and internationalisation plan.

ABB buys Nub3d

ABB, a Swiss company that offers products and services in electrical and automation technology, has acquired Barcelona-based Nub3d for €6.10 million.

Nub3d is an engineering company that develops and commercialises 3D scanning technology for industrial use. The Spanish company was owned by Fitalent, the venture capital unit of Everis.

DAR Group acquires 30% from GPO Engineering

The Dubai-based engineering and project management company DAR Group has acquired the 30% from the Spanish company GPO Ingeniería. The amount of the transaction has not been disclosed.

GPO Ingeniería, based in Barcelona, is also a specialised engineering company. The transaction has been structured as a combination of the purchase of treasury shares of the company (15%) and a subscription to a capital increase (15%).

Tubos Reunidos sells Almesa to its management team

Tubos Reunidos, a Spanish manufacturer of seamless stainless steel tubes, has sold its subsidiary Almesa to the company's management team. The amount of this MBO transaction amounts to approximately €2.7M.

Almesa is a Bilbao-based company dedicated to the distribution of materials for fluid handling systems. The company has 58 employees.

The sale does not include the business of design and development of engineering projects with prefabricated pipes and fittings for pressure equipment, as well as the management and operation of its real estate assets, which have been spun off in favour of the company TR Services, which remains in the hands of Tubos Reunidos.

CAF acquires BWB Consulting

The Spanish company CAF, dedicated to the design, manufacture, maintenance and supply of equipment and components for railway systems, has acquired the British engineering company BWB Consulting. The amount of the transaction has not been made public.

The acquisition allows CAF to consolidate its presence in the UK and strengthen its position as a comprehensive rail services provider.

TSK acquires Ingeteam's subsidiary Power Plants

TSK, a Spanish company specialised in the development of integrated solutions for the engineering for the energy industry, has acquired Ingeteam's subsidiary Power Plants. The amount of the transaction has not been disclosed.

Ingeteam Power Plants, based in the Álava Technology Park, specialises in the engineering and construction of power generation plants. With the operation, TSK reinforces its capacity to execute electricity generation plants from both renewable and conventional sources, and acquires the necessary experience and references to execute turnkey biomass generation plants.
