Integral service around a transaction

VozTelecom, a Spanish cloud operations operator, has reached an agreement in principle to acquire 100% of the share capital of Nethits Telecom Solutions, a Seville-based IT solutions company.

Today, they are the protagonists in many companies and of numerous movements in corporate finance in the sector.


Founded in 2003, VozTelecom is a Spanish company dedicated to the provision of cloud communication and IP telephony services for companies..

With a staff of more than 130 professionals, last year it achieved revenues of €10.5m, 8.3m more than in 2017.

At this point, it should be noted that it has been listed on the Alternative Stock Market since July 2016.

In November, it announced that it has reached an agreement in principle to acquire 100% from Nethits Telecom Solutions..

The total price of the buying a company amounts to 2,2M€ in cash.

A part of the payment has been agreed as contingent, earn-outThe new transaction would be financed entirely from resources available on the group's balance sheet, but without increasing indebtedness.

In other words, the transaction would not entail any carve-out for its shareholders.


If finally approved, the purchase will increase Voztelecom's commercial capacity in Andalusia, one of the geographic areas with the highest growth potential.

Its current low penetration in this autonomous community is a fact, compared to Madrid and Catalonia. There, its commercial capillarity is greater as it has concentrated its commercial activity since its beginnings.

In this sense, with Nethits it will be able to develop and give a better support to the network of distributors and service points of the group in Andalusia from Seville.

To date, this activity has been managed from Madrid.

The Isla de la Cartuja also adds a Data Processing Centre to its existing centres in San Sebastian, Madrid and Barcelona.

The transaction will also enable Voztelecom to do two other things:

  • Increase its portfolio of business customers to whom it can provide its Centrex communications service.
  • Expanding its competencies to address the segment of the contact-center.


This is not the firm's first purchase.

Last July, it acquired ComyMediaa a Basque company based in San Sebastian, which provides IT services and solutions to companies. for more than twenty years.

This operation enabled it to expand its commercial capillarity in the Basque Country, as well as its range of solutions for the business segment.

With the purchase of Nethits, Voztelecom also fulfils one of the main objectives of its strategic plan presented at the beginning of 2018: to accelerate the planned organic growth through inorganic operations.

This latest development reinforces its leading position in Spain as the leading operator in cloud communications for enterprises.


Nethits is a global provider of advanced solutions in the ICT sector.

He has more than 13 years of experience as an agent in the telecommunications sector, both as a Telecommunications Operator and as a Technology Integrator specialising in the hotel sector.

In 2018, it achieved a net income of €2.1m. and an Ebitda of more than 400,000 euros.

These figures are mainly due to two facts:
