La nueva ley de capital riesgo europeo permitirá invertir en el sector inmobiliario y firmas cotizadas

La Nueva ley europea que regula los fondos de inversión a L/p, se pondrá en marcha en el primer semestre de 2015. Entre las novedades, se permitirá la compra de activos inmobiliarios y compañías cotizadas, aunque para ello se tienen que cumplir ciertas condiciones.

 

Condiciones:

1.Serán fondos de tipo cerrado aunque con posibilidad de reembolso a accionistas

2.El 70% de su patrimonio deberá seguir destinándose a empresas no financieras y activos reales, como infraestructuras, o inmuebles, o inmuebles con un componente social. El restante 30% podrá destinarse a valores mobiliarios e instrumentos del mercado monetario

 
3.Las empresas cotizadas participadas deberán ser de pequeña capitalización.
Inicialmente irán destinados a inversores institucionales, aunque está permitida su comercialización entre particulares. 

Una vez que la normativa entre en vigor, las gestoras nacionales podrán usarlas directamente en el marco de la UE, sin que sea necesaria que sea transpuesta al ordenamiento español. 

 

Otras novedades de la ley

Además la nueva ley introduce otras novedades que exponemos a continuación:

1.Flexibiliza el régimen financiero de las entidades de capital-riesgo.
 
2.Crea la figura de las entidades de capital-riesgo-pyme que permite a estas entidades invertir un 70 por ciento de su patrimonio en participaciones de pyme, participando en su gestión y haciendo labores de asesoramiento.
 
 
3.Elimina casi completamente el régimen de intervención administrativa de la Comisión Nacional del Mercado de Valores sobre las entidades de capital-riesgo y las entidades de inversión colectiva de tipo cerrado.
