AMPER BUYS TWO TECHNOLOGY COMPANIES

Integral service around a transaction

The technology group Amper has closed the purchase of two companies of the Cantabrian group Setelsa for €4m, paid in three instalments.

Through its subsidiary Amper Rubricall, the company has acquired the 100% from Electronics and Telecommunication Systems and Support Supplies and Supportto reinforce the security and telecommunications vertical.

WHO IS AMPER RUBRICALL?

Amper Rubricall is the subsidiary of the company Amper.

Last November, through it, it acquired 100% of the shares in the companies Sistemas Electrónicos y Telecomunicaciones S.A. y Support Suministros y Soporte S.L.

Both belong to the group Setelsa and are dedicated to technological system solutions for industry and to the realisation of security systems..

With this buy Amper's security and telecommunications vertical is strengthened.

The transaction has been closed for a total amount of 4M€.

Of this, €3m will be disbursed at the time of signing.

The remaining EUR 1 million will be paid in two parts:

  • After 12 months, from the signature 500,000 euros.
  • The final 500,000 euros, 24 months after signature.

OPTIMAL LOCATION AND GOOD POSSIBILITIES

It should be noted that neither of the acquired companies has any financial debt, and that both have a positive cash position, which will be taken over by the Amper group.

It should also be noted that both companies will end 2019 with a combined EBITDA of approximately 800,000 euros.

In addition to the above, both deepen Amper's strategy of vertical integration in the value chain.

This will lead to product synergies and increase its presence and visibility to new customers.

In fact, the aim of this is to take advantage of the commercial channel to provide them with the comprehensive solutions of the entire group.

Amper is a Madrid-based holding company with sales of €143m in 2018.

It has more than 60 years of experience in the telecommunications sector.

Its portfolio is valued at €98m and it employs 415 people.

It is dedicated to facilitating market transformation towards new business models, integrating industry solutions and communications technology..

SUPPORT SUPPLIES AND SUPPORT

Support Supplies and Supportfor its part, is a technological company in charge of the realisation of security systems..

It offers advanced solutions for the comprehensive management of security in buildings and all types of environments.

It does so with regard to access control, time control, visitor management, and asset management.

It also has a systems integration platform, and has major customers in the financial sector.

In 2018 it had a turnover of €1.35m, with a positive result of €73,105.

It has a staff of 13 employees.
